By submitting any letter, story, photograph, video, caption, comment, dog name, dog image, social media handle, voice recording, likeness, and/or other material through Dear Louie’s Airtable form or any related submission channel, you agree to this Dear Louie Submission License, Name/Image/Likeness Release and Privacy Notice (“Release”).
This Release is between you (“you” or “Submitter”) and Residency 6, Inc., doing business as Dear Louie (“Dear Louie,” or “Company”).
“Submission” means any content or material you provide to the Company for possible use in connection with the Company’s social media, website, email, editorial, publicity, promotional, marketing, or related brand materials, including any written love letter to your dog and any accompanying name, image, photograph, likeness, social handle, caption, testimonial, or other identifying material.
You grant the Company a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, fully paid-up license, with the right to sublicense to service providers acting on the Company’s behalf, to use, reproduce, copy, host, store, archive, edit, adapt, modify, translate, format, crop, resize, excerpt, publish, display, perform, distribute, repost, and otherwise exploit your Submission, in whole or in part, in any media now known or later developed, including on Instagram, websites, emails, advertising, promotional materials, and other social or digital channels.
To the extent your Submission includes your name, image, likeness, photograph, voice, Instagram handle, biography, or other indicia of identity, you authorize the Company to use those materials in connection with the Submission and the Company’s related content and marketing. If your Submission includes your dog’s name, image, or likeness, you authorize the Company to use that material as part of the Submission as well.
If the Company offers you the option to be credited by name, by Instagram handle, or anonymously, the Company will use commercially reasonable efforts to follow the attribution option you select. However, you acknowledge that the Company may edit formatting, captions, or presentation for style, space, platform requirements, readability, moderation, or brand consistency, and the Company will not be liable for minor attribution errors, omissions, or technical posting issues. If you choose anonymous posting, the Company will not intentionally identify you by name or handle in the post, but the Company cannot guarantee anonymity if your Submission itself contains identifying information or is independently recognizable.
The Company has no obligation to publish, post, use, or retain any Submission. The Company may review, reject, remove, edit, or discontinue use of any Submission at any time in its sole discretion.
You understand and agree that your Submission is voluntary and that you will not receive payment, royalties, compensation, reimbursement, or other consideration of any kind in connection with the Company’s use of the Submission, except as the Company may expressly agree in writing.
You represent, warrant, and agree that: (a) you are at least 18 years old and have the legal authority to enter into this Release; (b) you own or control all rights necessary to grant the rights granted in this Release; (c) your Submission does not infringe, misappropriate, or violate any copyright, trademark, privacy, publicity, contractual, or other rights of any person or entity; (d) if any other person appears in, is referenced in, or has rights in the Submission, you have obtained all necessary permissions from that person; (e) your Submission is not defamatory, obscene, unlawful, misleading, or fraudulent; and (f) your Submission does not contain any malware, harmful code, or unauthorized commercial promotion.
You agree that the Company may edit, shorten, crop, pair with graphics, reformat, excerpt, caption, or otherwise modify the Submission in the Company’s discretion, so long as such use remains generally consistent with the purpose of this Release. The Company is not required to use the Submission in its original form.
You, on behalf of yourself and your heirs, successors, and assigns, release and discharge the Company and its officers, directors, employees, contractors, agents, licensees, successors, and assigns from and against any and all claims, demands, liabilities, damages, losses, and causes of action arising out of or relating to the Company’s authorized use of the Submission, including claims for violation of the right of publicity, invasion of privacy, false light, defamation, emotional distress, or misappropriation, except to the extent caused by the Company’s willful misconduct or use outside the scope of this Release.
To the fullest extent permitted by law, you agree that your remedies for any claim arising out of the Company’s use of the Submission will be limited to money damages, if any, and you waive any right to seek injunctive or equitable relief that would restrain, interfere with, or delay the Company’s use, publication, distribution, or exploitation of the Submission or related content already created or scheduled.
The Company may collect the information you provide in connection with your Submission, including your name, email address, Instagram handle, attribution preference, and the content of your Submission itself. The Company may use this information to review submissions, contact you, attribute your Submission if requested, publish or repost the Submission, maintain an editorial archive, operate its website and social media, and improve its brand communications. Submissions are intended to be public-facing, and if your Submission is published, it may be viewed, copied, shared, commented on, or reposted by members of the public and by third-party platforms. The Company may use third-party service providers, including form, hosting, social-media, analytics, and email service providers, to receive, store, process, and publish submissions. The Company does not sell your personal information for money, but public-facing content you choose to submit may become publicly available if published.
Because content published online may be shared, archived, cached, or reposted by others, the Company cannot guarantee complete deletion once a Submission has been published. The Company may consider good-faith removal requests in its discretion, but this Release remains irrevocable with respect to any use already made, any materials already created, and any archived, backup, or legally required copies.
You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, contractors, agents, successors, and assigns from and against any third-party claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your Submission, your breach of this Release, or your violation of any law or third-party right.
This Release is governed by the laws of the State of California, without regard to conflicts-of-law principles. Any dispute arising out of or relating to this Release shall be brought exclusively in the state or federal courts located in Alameda County, California, and the parties consent to the jurisdiction of those courts.
This Release constitutes the entire agreement between you and the Company regarding the Submission and supersedes prior discussions on that subject. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. The Company may assign this Release in connection with a merger, acquisition, reorganization, or sale of assets. This Release may be accepted electronically, and electronic acceptance will be deemed the same as a handwritten signature.
